Terms & Conditions and Creator Code of Conduct

1. Acceptance and Scope

These Terms & Conditions ("Terms") are an agreement between you and Xeet Corp. ("Xeet," "we," "us," "our"). They govern your access to and use of Xeet.ai and related products and services, including: (a) the minting, purchase, sale, transfer, and display of Xeet Creator Card NFTs ("Creator Cards"), and (b) any rewards, incentives, or payment program related to Creator Cards (the "Rewards Program") (collectively, the "Services").

By doing any of the following, you agree to these Terms: (a) minting a Creator Card, (b) purchasing or receiving a Creator Card on-chain, (c) connecting a wallet to Xeet, or (d) accessing any feature, reward, benefit, or content associated with Creator Cards.

If you do not agree, do not use the Services.

2. Key Definitions

  • "Creator Card" means a non-fungible token (NFT) minted or recognized by Xeet that may be transferable on-chain and that is used to represent a creator identity and/or eligibility for the Services.
  • "Creator" means a person who creates, claims, mints, or administers a creator identity through a Creator Card.
  • "Holder" means any person who holds a Creator Card in a blockchain wallet, including purchasers on secondary marketplaces.
  • "Wallet" means a compatible blockchain wallet address and any associated wallet software you use to interact with the Services.
  • "PFP" means your profile picture or avatar image (including NFT-derived images).
  • "Handle" means your username/handle on X (formerly Twitter) or other supported social platforms.
  • "Creator Materials" means the content and identifiers you provide or authorize Xeet to use, including your PFP, Handle, display name, likeness, biography, links, and other profile elements.
  • "Action" means any activity that Xeet designates as potentially eligible for rewards (for example, creating content, referrals, engagement, participating in campaigns, holding an NFT, or other activities specified in Rewards Program rules).
  • "X" refers to X Corp. Xeet is not affiliated with, endorsed by, or sponsored by X.

3. Eligibility and Account Requirements

You must be at least 18 years old (or the age of majority where you live, whichever is higher) to use the Services. Xeet does not knowingly offer the Services to minors.

You are responsible for providing accurate information, maintaining the security of your account(s), and promptly updating information as needed.

Xeet may refuse access, suspend participation, or require additional verification where legally required or where Xeet reasonably believes there is fraud, sanctions risk, or other compliance risk.

4. Creator Cards are Transferable NFTs; Secondary Markets

Creator Cards are minted NFTs that may be transferred on-chain. Ownership is determined by the applicable blockchain ledger and smart contract(s).

Creator Cards may be bought or sold on third-party marketplaces. Xeet does not operate or control secondary marketplaces and is not responsible for marketplace listings, fees, disputes, scams, or the conduct of buyers or sellers.

On-chain data and decentralized storage (for example, token ownership records, token IDs, and metadata pointers) may be publicly visible and may not be reversible or deletable.

5. Wallet Connection, Smart Contracts, and Risk Disclosures

5.1 Non-custodial; you control your keys

Unless Xeet expressly states otherwise in writing, Xeet does not custody your private keys, seed phrase, or wallet credentials. You are solely responsible for securing your Wallet, devices, and credentials.

5.2 Irreversible transactions; network fees

Blockchain transactions can be irreversible and may involve network (gas) fees. You are solely responsible for reviewing and approving transaction details, including addresses and networks, before signing or confirming any transaction.

5.3 Third-party technology and marketplaces

The Services may rely on third parties, including wallet providers, blockchain networks, RPC providers, bridges, and marketplaces. Xeet does not control those third parties and disclaims liability for their outages, bugs, security failures, or other acts or omissions.

5.4 Risk of loss

Digital assets and NFTs involve significant risks, including loss of access due to key loss, hacking, phishing, malware, smart contract vulnerabilities, chain reorganizations, network congestion, and regulatory changes. To the maximum extent permitted by law, Xeet is not responsible for losses arising from these risks.

5.5 No investment, financial, tax, or legal advice

Nothing in the Services constitutes financial, investment, tax, or legal advice. Xeet makes no promise of profit, value, liquidity, or appreciation for any Creator Card or related digital asset.

6. Permission to Use Creator Materials (PFP/Handle) for Cards and Marketing

6.1 License from you to Xeet

You retain any rights you have in your Creator Materials. However, you grant Xeet a worldwide, non-exclusive, perpetual, irrevocable, transferable, sublicensable, royalty-free, fully paid-up license to use, host, reproduce, display, publish, distribute, publicly perform, transmit, adapt, modify, format, resize, crop, create derivative works from, and otherwise exploit your Creator Materials for the following purposes:

  • to mint, display, and operate Creator Cards (including generating card images, metadata, previews, and listings);
  • to provide, maintain, and improve the Services;
  • to market, advertise, and promote Xeet, Creator Cards, and the Services (including in paid ads, social media, email marketing, PR, events, and partner co-marketing); and
  • to comply with law, enforce these Terms, and protect Xeet and others (for example, fraud prevention and dispute resolution).

6.2 Right of publicity and consent

To the extent your Creator Materials include your name, persona, likeness, voice, or other rights of publicity or privacy, you consent to Xeet's use of those rights as described in Section 6.1.

6.3 No approval rights; no obligation to use

Xeet is not obligated to use your Creator Materials and may decide how and where to feature Creator Cards in its sole discretion. To the maximum extent permitted by law, you waive any right to inspect or approve uses of your Creator Materials that are permitted under these Terms.

6.4 Limited license to Holders (display and resale)

If a Creator Card image or metadata includes Creator Materials, each Holder receives a limited, revocable, non-exclusive license to display the Creator Card (including its associated image as displayed by the token) solely for: (a) personal, non-commercial use, and (b) listing and selling the Creator Card on marketplaces. This Holder license does not permit commercial use of a Creator's likeness, brand, or Handle outside of displaying the Creator Card as a token.

6.5 Removal and persistence

You may request removal of your Creator Card from active display in Xeet interfaces. Xeet will use commercially reasonable efforts to stop actively displaying it. However, you acknowledge that: (a) on-chain transactions and ownership records cannot be deleted by Xeet; (b) content stored or referenced via decentralized storage may persist; and (c) prior marketing materials may continue to exist in archives, screenshots, press coverage, and third-party reposts.

7. Your Representations About Rights; Takedowns

You represent and warrant that you own or have all necessary rights, permissions, licenses, and consents to provide your Creator Materials and grant the licenses in Section 6. This includes any rights required by an underlying NFT collection license if your PFP is NFT-derived.

You agree that Xeet may remove, disable, or modify Creator Cards or Creator Materials (including card imagery/metadata shown in Xeet interfaces) if Xeet reasonably believes there is infringement risk, legal risk, or brand safety risk, without liability.

8. No Royalties for Use of PFP/Handle; Separate Rewards for Actions

Except as expressly provided under the Rewards Program (Section 10) or in a separate written agreement signed by Xeet, you agree that:

  • Xeet does not owe you any royalties, license fees, residuals, or other compensation for Xeet's use of your PFP, Handle, or other Creator Materials as permitted by these Terms;
  • you should have no expectation of payment for the mere minting, ownership, transfer, display, or marketing of your Creator Card; and
  • any rewards or payments you may receive (if any) are earned only through eligible Actions and are subject to Rewards Program rules, compliance checks, and these Terms.

9. Advertising, Endorsements, and Disclosures

If you create, publish, or distribute content that promotes Xeet, Creator Cards, or any partner brand/product/service, you agree to comply with: (a) all laws and regulations applicable to you and your audience(s) (including advertising and consumer protection laws), (b) the rules of each platform you use (including X policies), and (c) any campaign-specific instructions provided by Xeet.

You agree to clearly and conspicuously disclose any material connection (for example: payments, rewards, free items, affiliate commissions, discount codes, or other benefits) in a way that is easy to notice and understand. Disclosures must not be hidden or ambiguous.

You are responsible for ensuring your disclosures are compliant in your country and any country you target with your content.

10. Xeet Creator Code of Conduct

When participating in the Services or representing an affiliation with Xeet, you agree to follow the Code of Conduct below.

10.1 Act ethically and lawfully

  • Comply with applicable laws, regulations, and platform rules.
  • Do not facilitate or promote illegal activity, scams, or fraud.

10.2 Be truthful; avoid misleading claims

  • Do not make false, misleading, or unsubstantiated claims about Xeet, Creator Cards, rewards, earnings, performance, or any product/service.
  • If you discuss potential rewards or earnings, you must not imply they are guaranteed or typical unless you can substantiate that claim.
  • Do not misrepresent your identity, audience, analytics, or results.

10.3 Disclose material connections

  • Clearly disclose paid partnerships, rewards, gifts, affiliate links, and other material connections (see Section 9).
  • Place disclosures where they will be noticed (for example, near the beginning of a post or at the start of a video).

10.4 Respect others; maintain brand-safe conduct

  • No hate speech, harassment, bullying, threats, or targeted abuse.
  • No doxxing or sharing personal information without consent.
  • No content intended to incite violence or intimidation.
  • Avoid content that would reasonably damage Xeet's reputation (for example: extremist content, explicit hate, repeated platform policy violations).

10.5 Use fair and authentic growth practices

  • Do not buy followers or engagement, use bots, or engage in deceptive metric manipulation.
  • Do not use spam or misleading engagement bait that violates platform rules.

10.6 Enforcement

Xeet may suspend or terminate your access to the Services, remove your Creator Card from display in Xeet interfaces, and/or withhold, reverse, or claw back rewards to the maximum extent permitted by law and applicable program rules if you violate this Code of Conduct or create legal, compliance, security, or brand risk.

11. Rewards Program (Creators and Holders)

11.1 Rewards are optional and may change

Xeet may offer rewards or payments to Creators and/or Holders for eligible Actions. The Rewards Program is optional. Xeet may modify, suspend, or discontinue the Rewards Program (including eligible Actions, rates, formulas, caps, and payout methods) at any time in its sole discretion. Rewards are not guaranteed.

11.2 Eligibility, measurement, and finality

Xeet may use on-chain data, platform analytics, referrals, anti-fraud signals, and other methods to determine whether Actions are eligible and to calculate rewards. To the maximum extent permitted by law, Xeet's determinations are final.

11.3 Anti-fraud; prohibited manipulation

Xeet may disqualify Actions that it reasonably believes are fraudulent, abusive, automated, manipulative, or intended to circumvent program rules, including botting, wash trading, fake engagement, spam, or creating multiple accounts to exploit rewards.

11.4 Verification (KYC/AML); sanctions

Before allowing participation in the Rewards Program or making payouts, Xeet may require identity verification (KYC), wallet verification, and/or other compliance checks. Xeet may refuse, delay, or limit payouts where required by law or where Xeet reasonably believes there is fraud, sanctions risk, or other compliance risk.

11.5 Taxes and reporting

You are solely responsible for all taxes associated with rewards or payments you receive. Xeet may collect tax forms (such as IRS Form W-9 or W-8BEN) and may report payments as required by law. Xeet may withhold amounts where legally required.

11.6 Payment methods; thresholds; timing

Rewards may be paid in fiat, stablecoins, other digital assets, credits, or other methods determined by Xeet. Xeet may set minimum payout thresholds, schedules, and processing times. Xeet is not responsible for losses due to incorrect payout addresses or wallet errors you provide.

11.7 Errors; clawbacks; offsets

If Xeet makes an overpayment or pays rewards in error, or if rewards are later found to be based on ineligible or fraudulent Actions, Xeet may correct the error by reversing the payment where possible, offsetting future rewards, requesting repayment, or taking other lawful actions.

11.8 No employment; no agency

Nothing in the Rewards Program creates an employment relationship, agency, partnership, or joint venture. You are not an employee or agent of Xeet.

12. Fees; No Refunds (if applicable)

If Xeet charges any fees (including mint fees, service fees, or platform fees), those fees will be disclosed at the time of the transaction. Except where required by law, all fees and amounts paid are non-refundable. Network (gas) fees are charged by the blockchain and are not controlled or refundable by Xeet.

13. Prohibited Use

You agree not to:

  • use the Services in violation of law, regulation, or platform rules;
  • attempt to gain unauthorized access, interfere with security, or distribute malware;
  • misrepresent ownership of a Creator Card or your affiliation with Xeet;
  • use the Services to infringe intellectual property, publicity, or privacy rights;
  • engage in fraud, deception, spam, or manipulative behavior related to rewards, referrals, or engagement;
  • use automated scripts or bots to interact with the Services in a way that circumvents limits;
  • reverse engineer, exploit, or misuse the Services or smart contracts.

14. Intellectual Property Complaints; Takedown Process

If you believe content displayed through the Services infringes your copyright, trademark, or rights of publicity/privacy, you may submit a notice to legal@xeet.ai that includes:

  • identification of the work or right claimed to be infringed;
  • identification of the allegedly infringing content (including URLs, token IDs, or screenshots, where possible);
  • your name and contact information;
  • a statement that you have a good-faith belief the use is unauthorized; and
  • a statement, under penalty of perjury where applicable, that the information is accurate and that you are the rights holder or authorized to act on their behalf.

Xeet may remove or restrict access to content in Xeet interfaces and may terminate repeat infringers in appropriate circumstances.

15. Privacy; Wallet Address Linking

You acknowledge that Xeet may collect, store, and process your Wallet address(es) and link them to your account identity (for example, email, phone, or social account identifiers) to provide the Services, administer rewards, prevent fraud, and comply with law. Your use of the Services is also subject to Xeet's Privacy Policy. If you do not agree, do not use the Services.

16. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, XEET DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

XEET DOES NOT GUARANTEE THAT CREATOR CARDS, REWARDS, OR ANY DIGITAL ASSET WILL HAVE ANY VALUE OR THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, XEET WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR DIGITAL ASSETS, EVEN IF XEET HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, XEET'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) USD $100 OR (B) THE AMOUNT PAID BY XEET TO YOU (IF ANY) THROUGH THE REWARDS PROGRAM IN THE SIX (6) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

18. Indemnification

You agree to defend, indemnify, and hold harmless Xeet and its officers, directors, employees, contractors, agents, affiliates, and partners from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from or related to: (a) your Creator Materials; (b) your use of the Services; (c) your violation of these Terms; or (d) your content, endorsements, or disclosures.

19. Dispute Resolution; Arbitration; Governing Law (Delaware)

19.1 Governing law

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles.

19.2 Informal resolution

Before filing a claim, you agree to contact Xeet at legal@xeet.ai and attempt to resolve the dispute informally for at least 30 days.

19.3 Binding arbitration; class action waiver

Except for claims that may be brought in small claims court, you and Xeet agree to resolve any dispute arising out of or relating to these Terms or the Services through final and binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration will take place in Delaware (New Castle County) unless the parties agree otherwise. YOU AND XEET WAIVE ANY RIGHT TO A JURY TRIAL. YOU AND XEET AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

19.4 Injunctive relief

Nothing in this Section prevents either party from seeking injunctive or equitable relief in a court of competent jurisdiction for misuse of intellectual property, unauthorized access, or other urgent harm.

19.5 Venue for court actions

To the extent any dispute is not subject to arbitration, you and Xeet agree to exclusive jurisdiction and venue in the state or federal courts located in Delaware.

20. Changes to These Terms

Xeet may update these Terms from time to time. Updated Terms will be effective when posted on Xeet.ai (or when you otherwise accept them). Continued use of the Services after the effective date of an update constitutes acceptance.

21. Miscellaneous

  • Electronic communications: You consent to receive communications from Xeet electronically (for example, by email or in-app notices).
  • Assignment: You may not assign these Terms without Xeet's prior written consent. Xeet may assign these Terms as part of a merger, acquisition, reorganization, or sale of assets.
  • Severability: If any provision is held invalid or unenforceable, the remaining provisions will remain in effect.
  • No waiver: Failure to enforce any provision is not a waiver of future enforcement.
  • Entire agreement: These Terms, together with any incorporated policies (including the Privacy Policy) and any separate written agreements signed by Xeet, constitute the entire agreement between you and Xeet regarding the Services.
